Terms of Use

1. Acceptance of Terms

By accessing or using PlayCompete ("the Service"), you agree to these Terms of Use.

These Terms are a legally binding contract between you and PlayCompete, including PlayCompete.com and all related Services. Throughout these Terms, "PlayCompete," "we," "us," and "our" refer to PlayCompete.

These Terms set out your rights and responsibilities when using PlayCompete.com, our mobile apps, and our other services (collectively, the "Services"), so please read them carefully. By using any of our Services, even just browsing our website or apps, you agree to these Terms. If you don't agree, you may not use our Services.

We may update these terms from time to time; continued use after changes means you accept the updated terms.

2. Your Privacy

Your personal information matters to you, so it matters to us. Our Privacy Policy explains how your information is collected, used, and shared when you use our Services. By using our Services, you agree that we may process your information as described there, so please read it.

Both PlayCompete and event organizers process members' personal information (such as name, email address, and billing address), and are therefore treated as separate, independent data controllers under EU law. Each party is responsible for the personal information it processes in providing the Services. For example, if a Race Director accidentally discloses an athlete's name and email while fulfilling another athlete's registration, the Race Director, not PlayCompete, is responsible for that disclosure.

However, if you (as a Race Director) and PlayCompete are found to be joint data controllers of athlete personal information, and PlayCompete is sued, fined, or otherwise incurs costs because of something you did or failed to do in that role, you agree to defend and indemnify PlayCompete in accordance with Section 12 below.

3. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information and keep it current, and you must be legally able to enter into a contract to use the Service.

  1. You must be 18 or older to use our Services. Minors between 13 and 17 may use our Services only through an account owned by a parent or legal guardian, with their permission and under their direct supervision. Children under 13 may not use PlayCompete or the Services. You are responsible for all account activity conducted by a minor on your account, and you may want to limit a minor's access to certain products, services, or material available online.
  2. Be honest. Provide accurate information about yourself. Using false information or impersonating another person or company is prohibited.
  3. Choose an appropriate name. If you don't use your full name on your account, you may not use language that is offensive, vulgar, infringes someone's intellectual property, or otherwise violates the Terms.
  4. You're responsible for your account. You're solely responsible for all activity on it. If you share an account, the person whose financial information is on file is ultimately responsible for all activity. If you register as a business, you personally guarantee that you have authority to agree to these Terms on its behalf. Accounts are generally not transferable.
  5. Protect your password. Since you're solely responsible for all account activity, keep your password secure.

4. Organizer Responsibilities

If you use the Service to run events, leagues, or tournaments, you are responsible for the accuracy of your listings, your registration terms, your refund and transfer policies, communications you send to participants, and compliance with all applicable laws. You are the merchant of record for the fees you collect from your participants.

5. Participant Registrations

When you register for an event, league, or tournament, you agree to the organizer's terms, including any waiver, eligibility rules, and refund policy. Organizers, not PlayCompete, are responsible for running their events and honoring their policies.

6. Payments and Fees

Payments are processed by our payment provider (Stripe). Platform and processing fees apply as described on our Pricing pages and at checkout. Organizer activation fees are one-time charges per season or tournament. Fees are non-refundable except as required by law. You authorize us and our payment provider to charge the applicable amounts.

7. Refunds

Refunds for registrations and dues are handled by the event organizer according to their stated policy. Payment processing fees are non-refundable. PlayCompete does not guarantee refunds and is not a party to the transaction between organizers and participants.

8. Acceptable Use

You agree not to misuse the Service, including attempting to breach security, uploading unlawful or infringing content, harassing others, sending spam, scraping data, or interfering with the Service's operation. We may suspend or terminate accounts that violate these terms.

License to Use Our Services. We grant you a limited, non-exclusive, non-transferable, and revocable license to use our Services, subject to these Terms and, in particular, the following restrictions:

  1. Don't use our Services to break the law. You agree not to violate any laws in connection with your use of the Services, including any local, state, federal, and international laws that apply to you.
  2. Pay your bills. You are responsible for paying all fees you owe to PlayCompete. Except as set out below, you are also solely responsible for collecting and/or paying any applicable taxes on purchases or sales you make through our Services.
  3. Don't steal or scrape. You agree not to crawl, scrape, or spider any page of the Services, or to reverse engineer or attempt to obtain the source code of the Services (including both PlayCompete Intellectual Property and Race Director Content) without our express permission.
  4. Do no harm. You agree not to interfere with or disrupt our Services, for example by distributing a virus, sending excessive requests to our site or platform, or using other harmful computer code.
  5. Communications from us. From time to time, PlayCompete will provide you with certain legal information in writing. By using our Services, you agree that we may provide this information electronically (such as by email) rather than by mailing paper copies, and that your electronic agreement carries the same weight as your signature on paper.

9. Content and Intellectual Property

You retain rights to content you upload and grant us a license to host and display it in order to operate the Service. The PlayCompete name, branding, and software are our property and may not be copied or used without permission.

10. Disclaimers

The Service is provided "as is" without warranties of any kind. We do not warrant that the Service will be uninterrupted or error-free. PlayCompete is a technology platform and is not responsible for the conduct of organizers or participants, or for the events themselves.

11. Limitation of Liability

To the maximum extent permitted by law, PlayCompete is not liable for indirect, incidental, or consequential damages, or for any amount exceeding the fees you paid to us in the twelve months before the claim.

Items you purchase. PlayCompete does not review or inspect the individual events or products available through our Services. We provide the platform; the items in our marketplace are produced, listed, and sold directly by independent Race Directors, so PlayCompete makes no warranties about their quality, safety, authenticity, or legality.

Content you access. You may encounter content you find offensive or inappropriate while using our Services. We make no representations about content posted by users and are not responsible for its accuracy, copyright compliance, legality, or decency. You release us from all liability relating to that content.

People you interact with. You can use the Services to interact with others online or in person. We do not screen users beyond meeting certain compliance and legal obligations, and you release us from all liability relating to your interactions with them.

Third-party services. Our Services may contain links to third-party websites or services we don't own or control. You access these at your own risk, and they may require you to accept their own terms of use. PlayCompete is not a party to those agreements; they are solely between you and the third party.

12. Indemnification

If PlayCompete is sued or receives a claim, notice, inquiry, or demand because of something you did or failed to do, you agree to defend and indemnify us. This means you will defend, reimburse, compensate, and hold PlayCompete (including our employees, officers, directors, agents, subsidiaries, and affiliates) harmless from any claim, demand, lawsuit, loss, liability, or expense of any kind, including reasonable attorneys' fees, arising from your actions, your use or misuse of our Services, your breach of these Terms, items you buy or sell through the Services, or your actual or alleged violation of any law or third party's rights. We reserve the right to control our own legal defense even when you are indemnifying us, and you agree to cooperate with us in carrying out that strategy.

13. Changes and Termination

We may modify, suspend, or discontinue any part of the Service at any time. We may update these terms; material changes will be reflected by the "last updated" date above.
